Terms of Service
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Host”, “User”, or “Customer”) and Omni AI Club Private Limited (“OmniAI”, “Seminara”, “we”, “our”, or “us”), governing your access to and use of seminara.online, our WebRTC real-time presentation engine, Model Context Protocol (MCP) servers, SDKs, and developer APIs (collectively, the “Service”). By using the Service, you agree to these Terms. Please read them carefully.
1. Introduction & Corporate Identity
Seminara is operated by Omni AI Club Private Limited, a company incorporated under the laws of India, having its registered office at Bokajan, Karbi Anglong, Assam, India, 782480. By accessing our platform through a web browser, automated API token, command-line tool, or live presentation room, you confirm that you are at least 18 years of age and hold the legal capacity to enter into these Terms.
2. The Service & Aura Autonomous Presenter
Seminara provides autonomous live presentation infrastructure. The platform enables hosts to upload slide decks, document knowledge bases, and configure Aura, our autonomous AI presenter. Aura conducts live interactive presentation sessions over sub-second WebRTC audio, dynamically orchestrating slide transitions and answering verbal audience questions in real time.
3. Accounts, Machine Agents & API Tokens
3.1. Host Credentials & Security
You must provide accurate information when creating an account. You are solely responsible for maintaining the confidentiality of your credentials, OAuth tokens, and account sessions. All actions taken under your account are your legal and financial responsibility.
3.2. Programmatic Agents & MCP Usage
If you utilize our machine-to-machine registration endpoint or connect an automated AI agent via our Model Context Protocol (MCP) server, you are fully responsible for the compute minutes and sessions spawned by those automated systems. You agree not to distribute unauthenticated API keys or bypass rate-limiting boundaries.
4. Presentation Content & Intellectual Property
You retain 100% intellectual property ownership of all slide decks, PDFs, speaker notes, custom prompts, brand assets, and proprietary documents uploaded to Seminara. You grant Seminara a strictly limited, non-exclusive license solely to host, render, and convert your content for the execution of your presentation sessions. Your content is never used to train or fine-tune public foundation models.
5. Live Sessions & Attendee Audio Consent
5.1. Platform Disclosure Notice
Seminara rooms feature live bidirectional audio where attendees can unmute their microphones to speak directly with Aura. Seminara displays automated in-room notices informing participants that the presenter is an AI and that spoken audio is processed in real-time. Raw audio streams are ephemeral in RAM and are not saved as audio files.
5.2. Host Warranty on Attendee Consents
Under applicable wiretapping, electronic communications, and two-party consent laws (such as California Penal Code § 632, Illinois BIPA, and GDPR), you as the host represent and warrant that you have provided all legally required advance notices and obtained necessary consents from your attendees prior to inviting them into an interactive presentation session.
6. AI Output & Commercial Risk Allocation
Aura operates using advanced neural speech recognition, vector retrieval, and generative reasoning models. While engineered for factual fidelity to your slide deck, generative AI systems may occasionally produce inaccurate, unexpected, or conversational statements. Aura’s spoken statements do not constitute certified legal, financial, or medical advice. The host assumes full responsibility for all business commitments, pricing promises, or sales pitches delivered by Aura during live presentations.
7. Subscriptions, Minute Refuels & Refunds
7.1. Presentation Minute Metering
Presentation minutes are deducted in real-time as live presentation rooms operate. Once a session has initiated and minutes have been utilized, those consumed minutes are strictly non-refundable under any circumstances.
7.2. Prepaid Minute Packs (No Expiry)
Prepaid minute refill packs purchased for your account never expire and roll over indefinitely until consumed. Subscriptions renew automatically on a recurring monthly or annual basis unless cancelled prior to the renewal date.
7.3. Infrastructure Outage Credits
In the rare event of a verified server infrastructure failure on Seminara’s side that disrupts a scheduled live session, affected hosts may request replacement service credits by contacting shivamselam@seminara.online within 7 calendar days.
8. Acceptable Use & System Integrity
You agree not to upload illegal, defamatory, or abusive content; attempt adversarial prompt injection attacks or jailbreaks against Aura; deploy unauthorized scrapers; or impersonate living persons without authorization. Violations will result in immediate suspension or termination of your account.
9. Limitation of Liability & Monetary Cap
To the maximum extent permitted by applicable law, Omni AI Club Private Limited and its directors, employees, or partners shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, lost sales leads, or business interruption. In no event shall our total cumulative liability exceed the amount actually paid by you to Seminara in the twelve (12) months preceding the claim, or USD $100 (or INR 8,000).
10. Governing Law & Binding Arbitration
These Terms are governed by and construed in accordance with the laws of the Republic of India. Any controversy, claim, or dispute arising out of or in connection with these Terms shall be resolved by binding arbitration under the Indian Arbitration and Conciliation Act, 1996. The seat and legal place of arbitration shall be Guwahati, Assam, India, conducted in English by a sole arbitrator. Subject to arbitration, the competent courts in Assam, India shall have exclusive supervisory jurisdiction.
11. Suspension & Termination
We reserve the right to suspend or terminate accounts that breach these Terms or engage in abusive activities. You may delete your account and associated presentation data at any time from your account settings.
